These Terms of Use apply to the VideoChapter website, downloads, and macOS application. By accessing the website, downloading VideoChapter, installing it, or using it, you agree to these Terms.
License
Subject to these Terms, VideoChapter grants you a limited, non-exclusive, non-transferable, revocable license to use the app for your personal or internal business use on Macs you own or control.
Free features may be used without purchasing Pro. Pro features require a valid entitlement, which may come from a direct purchase and license activation flow or from an App Store purchase, depending on the build you use.
Your use must remain within any activation, entitlement, or platform limits that apply to your purchase channel.
Purchases, Billing, and Entitlements
VideoChapter Pro is offered as a one-time purchase, not a subscription, unless a different offer is explicitly presented to you at checkout.
- Direct purchases may be processed through Lemon Squeezy.
- App Store purchases are processed by Apple.
Payment processing, taxes, refunds, chargebacks, and billing disputes may be governed by the policies and terms of the payment provider or platform used for the transaction.
If a purchase is refunded, revoked, reversed, expires, or cannot be validated, Pro features may stop being available.
Acceptable Use
You may not:
- use VideoChapter in violation of applicable law
- use VideoChapter to infringe another person’s intellectual property, privacy, or other rights
- interfere with or disrupt the app, update flow, checkout flow, or related infrastructure
- attempt to bypass license, entitlement, or purchase controls
- copy, resell, rent, lease, sublicense, or redistribute the app except as allowed by law
- reverse-engineer, decompile, or disassemble the app except to the extent that applicable law expressly permits it
Your Content
You retain your rights in the videos, transcripts, exports, and other content you process with VideoChapter.
You are responsible for:
- having the rights and permissions needed to use the content you process
- reviewing outputs before publishing, distributing, or relying on them
- complying with laws and platform rules that apply to your content and exports
AI and Exported Output Disclaimer
VideoChapter uses automated and AI-assisted processing. Generated transcripts, chapters, summaries, assistant answers, translations, and exports may be incomplete, incorrect, misleading, or unavailable.
You are responsible for reviewing and verifying results before using them in important, commercial, legal, medical, financial, safety-related, journalistic, or compliance-sensitive contexts.
Privacy
VideoChapter is designed so core processing can run locally on your Mac after model download. For details about local processing, external services, optional analytics, and purchase-related data flows, see the Privacy Policy.
Updates and Third-Party Services
Direct-distribution builds may use Sparkle-based update mechanisms. App Store builds use Apple’s platform update flow. Some features also depend on third-party services or components, including payment providers, model hosting, Apple frameworks, and open-source software.
Third-party services and components may be subject to their own terms, privacy policies, notices, and license conditions.
Intellectual Property
VideoChapter, including the software, branding, interface design, and related materials, is protected by intellectual property laws. These Terms do not transfer ownership of the app or its intellectual property to you.
Third-party open-source software and model components included with or used by VideoChapter remain subject to their own applicable licenses and notices.
Availability and Changes
We may change, improve, suspend, or discontinue all or part of VideoChapter, the website, pricing, feature availability, distribution method, or update channel at any time.
We may also update these Terms from time to time. If we do, the updated version will replace the prior version as of the new “Last updated” date.
Disclaimer of Warranties and Limitation of Liability
To the maximum extent permitted by law, VideoChapter and related materials are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory.
We do not warrant that the app will be error-free, secure, always available, or suitable for any particular workflow.
To the maximum extent permitted by law, VideoChapter and its operators will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to your use of the website, app, or any outputs.
To the maximum extent permitted by law, if VideoChapter is found liable for any claim arising from these Terms, the total liability will be limited to the amount you paid for VideoChapter in the twelve months before the event giving rise to the claim, or USD $100 if you paid nothing, whichever is greater.
Termination
You may stop using VideoChapter at any time. These Terms terminate automatically if you materially violate them. Upon termination, you must stop using any copies of the app that you are not legally entitled to retain.
Sections that by their nature should survive termination will survive, including sections on intellectual property, disclaimers, limitations of liability, and payment-related obligations.
App Store Terms
If you obtained VideoChapter through the Mac App Store, Apple may also impose terms and conditions that apply to your use of that build, your Apple account, and any App Store purchase flow. To the extent a platform-specific rule applies to billing or distribution mechanics, that platform rule also applies.
